The supply of goods by EDCO shall be subject to and conditional upon acceptance of the following terms and conditions. They apply to UK customers only (including Channel Islands and BFPOs)
DESCRIPTION
At EDCO we are always looking to improve the quality and value of our goods and services. Whilst we make every effort to ensure all illustrations and descriptions in this catalogue are accurate (errors and omissions excepted) and informative, we reserve the right to change specifications or improve products. In the event of a substitute product being unacceptable, we will happily issue a full credit providing notification is received within seven working days of receipt and the goods are returned in an “as new” re-saleable condition (see “Return of Goods” section below)
PRICES
Prices quoted supersede all previous prices. The majority of prices in this catalogue are valid from April 2009 to March 2010. There are selected products identified with a blue arrow which could fluctuate throughout the life of the catalogue. Whilst every effort is made to ensure prices remain fixed until March 2010, in exceptional circumstances we may be forced to adjust prices during the year due to volatile raw material costs. All prices quoted are subject to alteration without notice, unless otherwise expressly agreed in writing by EDCO or stated expressly in the form of tender issued by the customer. You will be advised of any increase prior to despatch.
VALUE ADDED TAX
All prices are quoted exclusive of VAT. VAT at the appropriate rate will be added to all prices where applicable, including carriage and packaging charges. However, the tax status of the customer shall be a matter between the customer and the appropriate tax authority. For invoicing purposes EDCO will require the customer to provide evidence of exemption from VAT.
PRICES
Most prices are valid up to 31st March 2007. All prices exclude VAT. Whilst every effort is made to ensure details and prices are correct , in extreme circumstances we may be forced to adjust prices during the year. Errors and omissions excepted. Notwithstanding this all prices quoted by the seller are subject to alteration without notice, unless otherwise expressly agreed in writing by the seller or stated expressly in the form of tender issued by the buyer.
VALUE ADDED TAX
All prices quoted by the seller are exclusive of VAT, which shall be charged on invoices at the rate in force. The tax status of the buyer shall be a matter between the buyer and the appropriate tax authority. For invoicing purposes the seller may require the buyer to provide evidence of exemption from VAT.
AVAILABILITY
If an out-of-stock item is ordered, we will inform you and endeavour to supply the item as soon as possible. Goods in this catalogue are subject to availability. On occasion, goods will be discontinued for reasons beyond our control. We reserve the right to withdraw a product where a print error has occurred.
ALTERNATIVE PRODUCTS
The seller reserves the right, should circumstances dictate, to supply a product of a specification that differs from that detailed in the catalogue. In such cases every effort would be made to supply a product of at least the same quality.
PAYMENT/CREDIT
Payment, where the goods are supplied on credit, is due thirty days from the date of the EDCO invoice. EDCO reserves the right to charge interest at 8% above the Bank of England base rate on all overdue amounts and the customer will be liable for all legal costs.
Passing of Property
The risk in the goods supplied shall pass to the customer on delivery into the customer’s possession or to the carrier or place of delivery nominated by the customer and EDCO should be under no liability whatsoever for any loss or damage occurring thereafter.
RETENTION OF TITLE
Ownership of the goods is only passed to the customer on receipt of full payment of the relevant invoice.
CARRIAGE AND DELIVERY (UK Customers only)
Orders with a value of under £45 excl VAT are subject to an administrative charge of £5.95.
DIRECT DISPATCH
Please note that certain items (displaying a direct delivery icon) are delivered straight from the supplier and may take slightly longer to despatch. Please check delivery times at the time of ordering.
DELIVERY
EDCO accepts no liability for any loss, damage or expenses arising from the late delivery of goods by us, our agents or our agents’ carriers due to any cause whatsoever. Any delivery time or date for despatch or delivery date which we may specify is accordingly a best estimate only and should not be relied upon. EDCO will however seek to achieve delivery dates specified as far as is in our power to do so. Please note that with furniture and other larger items the price quoted is for delivery to ground floor. An additional charge may be levied by “Direct” suppliers for deliveries within a specified timeframe, e.g. 9am – 1pm. Should you have a particular delivery requirement please enquire before placing your order.
PROOF OF DELIVERY
A signed proof of delivery document will be available from EDCO for a period of 90 days from the date of invoice. After this period, EDCO may decline such request for proof of delivery or impose a charge for its supply. In any event after this period the purchaser shall be liable for payment of monies due in respect of the goods supplied.

TRANSIT
If upon receipt your goods are damaged, incomplete, incorrect or short delivered, notification must be made within two working days of delivery. For non-delivery of goods, notification must be made within 2 days of the invoice date. Claims for shortages or damage will not be accepted after a clear receipt has been given to the EDCO or our agent. If goods cannot be examined on delivery, delivery sheets or documents
presented to the buyer should be signed “unexamined” and any damage or shortage discovered after examination of the goods notified in writing to EDCO or our agent or carrier within two days after delivery. Goods should not be returned without prior authorisation and you must quote your account number and relevant reference number.
REFUSED DELIVERIES
We reserve the right to make a carriage charge plus a 20% handling fee, or minimum of £10, whichever is greater, on all consignments that are refused without reason.
RETURN OF GOODS
The EDCO product guarantee relates to the quality, durability and relative fitness for purpose during the first twelve months after delivery (unless otherwise stated). Any product returned will be assessed by our Quality Assurance department before any compensation is given. If we find no fault with the item(s) no refund will be issued and we reserve the right to charge a 20% handling fee or a minimum of £10, whichever is greater plus recover and delivery charges incurred. Where an item is found to be faulty, EDCO reserves the right to repair or replace. If this is not possible, a credit will be issued.
EDCO will arrange a collection of surplus to requirements stock items or items ordered in error for an administrative charge of £4.95. Notification of stock items ordered in error must be made within 7 working days of receipt, except during school holiday periods when notification must be received within 7 working days of the start of the school term. Collection of items delivered direct from our suppliers, ordered in error, must be requested within 2 working days of receipt and may be subject to a handling charge. Please note that EDCO will not accept returned goods without prior authorisation or in a non-saleable condition. In such cases items must be paid for in full by the customer and the standard handling fee (above) will be charged along with any delivery fees incurred.
FORCE MAJEURE
The seller shall not be liable to the purchaser for failure to perform or delay in performing any of their contractual obligations when this is caused by circumstances beyond their reasonable control.
CALLS MAY BE RECORDED
Calls may be recorded and monitored for training purposes or to improve the customer service we offer.
DATA PROTECTION
EDCO is a registered data user under the Data Protection Act. We never make your personal details available to other companies for marketing purposes other than for the marketing of ‘EDCO’ goods and services. We (and our parent company) may hold your personal details in order to process your order and/or to maintain your account. We (and our parent company) may also use your details to send you further information on EDCO’ goods and services, keep you up to date on goods, services, new products and promotional offers you may be interested in or for research purposes. DISPOSAL OF WASTE ELECTRICAL ELECTRONIC EQUIPMENT – WEEE DIRECTIVE
The United Kingdom is under an obligation to minimise the disposal of Electrical and Electronic Waste (WEEE) in domestic waste, and to encourage recycling, recovery and environmentally sound disposal methods. EDCO is committed to promoting the re-use, recycling and recovery of WEEE products by contributing to VALPAK compliance scheme. WEEE products and Packaging will be marked with a crossed out wheelie bin symbol (see below) to indicate that the product should not be disposed of in general domestic waste but disposed of through an approved WEEE scheme.
10 YEAR GUARANTEE
Certain items of Galt furniture products have an extended guarantee of 10 years. These are indicated by the 10 Year Guarantee logo and this applies to functional furniture. It specifically relates to the quality of the wood, hinges and lock, and excludes ancillary items such as trays and moving parts (castors). Please note that the same product from previous years may not have been covered by such a guarantee at that time.
SPECIFICATION
Where products are manufactured or adapted to the customer’s own specification, EDCO accepts no responsibility as regards fitness for purpose of the products so supplied, and those goods are not returnable for credit without the specific prior written agreement of EDCO.
CANCELATION OF ORDERS
Where the customer wishes to cancel an order placed for goods, this cancellation must be made within 24 hours of the date the order was placed. If orders are not cancelled within this specified period a charge may be incurred. EDCO also reserves the right to pass on any charges that may be incurred due to customer error in ordering.
GENERAL
In general, any dealings which EDCO may enter into, including any contracts for the supply of goods which may subsequently be entered into with other parties, shall be contracted by the conditions above. In addition, EDCO will ensure that no condition which the customer may seek to impose on any subsequent contract between the customer and EDCO conflicts with any of the previous conditions under which EDCO operates. Should such conflicts be discovered subsequent to the commencement of a contract then EDCO reserves the right to terminate without further notice any such agreement, in which case EDCO will have no liability in respect of any losses or damage or expenses arising there from.
